Aayo Terms of Service

Welcome to Aayo. By creating an account or using our platform, you agree to these Terms of Service. Please read them carefully.
1. Who We Are
Aayo is a live, host-driven song submission and review platform that allows hosts to run live sessions where fans can submit music for review. Aayo is operated independently and is not affiliated with any streaming platform including TikTok, Twitch, YouTube, Kick, or Instagram.
2. Eligibility
You must be at least 18 years old to use Aayo. By creating an account, you confirm that you are 18 or older. Aayo reserves the right to terminate any account found to belong to a user under the age of 18 without prior notice.
3. Accounts
- You are responsible for maintaining the security of your account.
- You are responsible for all activity that occurs under your account.
- You may not impersonate another person or use a username that is offensive, misleading, or violates these terms.
- Aayo reserves the right to suspend or terminate any account at any time for any violation of these terms.
4. Hosts
Hosts are independent operators, not employees or agents of Aayo. By using Aayo as a host, you agree to the following:
- You are solely responsible for the content of your sessions, including session names, descriptions, soundboard content, and any other material you post on the platform.
- You are solely responsible for ensuring your live streams comply with the copyright and content policies of any third party streaming platforms you use, including but not limited to TikTok, Twitch, YouTube, Kick, and Instagram. Aayo is not liable for any copyright claims, strikes, or penalties issued by third party streaming platforms.
- You will not use Aayo to scam, deceive, or mislead fans.
- You understand that Aayo takes a percentage of paid submission fees as outlined in your account settings. This percentage is subject to change at Aayo's discretion.
5. Fans & Submissions
- Fans submit music at their own risk. Aayo does not guarantee that a host will review, play, or respond to any submission.
- All submission fees are non-refundable. Once a submission is made and payment is processed, no refunds will be issued by Aayo. If a host chooses to offer a refund to a fan, that is solely between the host and the fan — Aayo is not involved in and takes no responsibility for host-initiated refunds.
- By submitting music through Aayo, fans confirm they have the right to submit the music and grant Aayo and the host a limited, non-exclusive license to play and review the submission during the live session.
6. Content Ownership & License
Aayo does not claim ownership of any music submitted through the platform. By submitting music, you confirm that you have the right to submit it for review — whether as the original artist or with the artist's permission. You grant Aayo and the host a limited, non-exclusive, royalty-free license to play and review the submission during the live session and to feature it within the platform, including the Spotlight Library and Aayo promotional content, for as long as the submission remains on the platform.
If you submit music without the right to do so, you are solely responsible for any claims that arise as a result. Aayo is not liable for submissions made without proper authorization.
7. Prohibited Content & Conduct
The following are strictly prohibited on Aayo:
- Hate speech, slurs, or content that targets individuals or groups based on race, ethnicity, religion, gender, sexual orientation, disability, or national origin
- Explicit sexual content
- Impersonation of any person or entity
- Spam or unsolicited promotional content
- Any content or conduct intended to scam, defraud, or deceive other users
- Use of the platform by anyone under the age of 18
Aayo reserves the right to remove any content that violates these guidelines and to suspend or permanently ban any user responsible, at Aayo's sole discretion.
8. Payments & Stripe
Payments on Aayo are processed through Stripe. By using Aayo's payment features, you also agree to Stripe's Terms of Service. Aayo does not store your payment card information.
Hosts receive payouts through Stripe Connect. Payout schedules are determined by Stripe and are subject to Stripe's policies. Aayo is not responsible for delays, failures, or issues with Stripe payouts.
9. Partner Program
Aayo offers a Partner Program that allows hosts to earn a percentage of submission fees from hosts who join Aayo through them.
The following applies to the Partner Program:
- Commission rates, discount percentages, eligibility requirements, payout structures, and all other aspects of the Partner Program are offered at Aayo's sole discretion.
- The Partner Program, including all associated rates and benefits, may be modified, suspended, or terminated at any time without prior notice.
- Participation in the Partner Program does not constitute a contract or guarantee of future earnings.
- Aayo reserves the right to disqualify any host from the Partner Program at any time for any reason, including but not limited to suspected abuse, fraud, or violation of these terms.
- All Partner Program earnings are subject to Stripe's payout policies and schedules.
The current commission rates and discount structures are displayed in your Partner Program dashboard. These are subject to change at any time.
10. Platform Availability & Liability
Aayo is provided "as is" without warranties of any kind. We do our best to keep the platform running smoothly, but we cannot guarantee uninterrupted service.
Aayo is not liable for:
- Platform downtime or technical issues during a live session
- Lost submissions or earnings due to technical failures
- Actions or conduct of any host or fan on the platform
- Disputes between hosts and fans
- Copyright claims, strikes, or penalties from third party streaming platforms
- Any indirect, incidental, or consequential damages arising from your use of Aayo
Your use of Aayo is at your own risk.
11. Enforcement
Aayo reserves the right — but is not obligated — to:
- Investigate complaints from fans or hosts
- Suspend or permanently ban hosts or fans who violate these terms
- Remove any content that violates these terms or community guidelines
- Claw back earnings from hosts found to have engaged in fraudulent or deceptive conduct
The exercise of these rights is at Aayo's sole discretion.
12. Email Communications
By creating an account on Aayo, you agree to receive transactional emails related to your account activity. Aayo may also send marketing and promotional emails. You may opt out of marketing emails at any time via the unsubscribe link in any marketing email.
Hosts who collect fan emails through their sessions may use those emails for their own marketing purposes, provided they comply with applicable laws including CAN-SPAM, GDPR, and any other relevant regulations.
13. Third Party Streaming Platforms
Aayo integrates with or is used alongside third party streaming platforms including TikTok, Twitch, YouTube, Kick, and Instagram. Aayo is not affiliated with, endorsed by, or responsible for any of these platforms. Use of these platforms is subject to their own terms of service and policies.
14. Changes to These Terms
Aayo reserves the right to update these Terms of Service at any time. We will notify users of significant changes via email or an in-app announcement. Continued use of the platform after changes are posted constitutes acceptance of the updated terms.
15. Governing Law & Dispute Resolution
These terms are governed by the laws of the State of Florida, without regard to conflict of law principles.
Any dispute arising from or relating to these terms or your use of Aayo shall be resolved through binding arbitration rather than in court, except where prohibited by law. Arbitration will be conducted on an individual basis. You waive any right to participate in a class action lawsuit or class-wide arbitration against Aayo.
